These Terms & Conditions (the "Terms") form a legally binding agreement between Desiand® Ltd, trading as Catalogist™ ("Catalogist", "we", "our", or "us") and you, whether personally or on behalf of an entity ("you" or "Client"), concerning your access to and use of thecatalogist.com (the "Website") and any services you engage us to deliver.

Desiand® Ltd is a private company limited by shares, incorporated under the Companies Act 2006 of England and Wales. Catalogist™ is a trading name and unregistered trade mark of Desiand® Ltd.

By accessing or using the Website, you acknowledge that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.

For the avoidance of doubt, the following is our registered company information.

Catalogist™ is a specialist design studio for product presentation. We design interactive digital product catalogs, company profiles and sales presentation systems for product businesses.

Project engagements

One-time engagements with a defined scope, deliverable set and timeline, quoted and billed per project.

Ongoing engagements

Continuing catalog production, seasonal updates and range maintenance, billed on an agreed recurring cycle and subject to the terms of the selected plan.

Nature of relationship

We act solely as a creative service provider. Nothing in these Terms forms a partnership, joint venture, agency, employment or profit-sharing relationship between you and us.

Users cannot create accounts on the Website.

Users are not permitted to upload or submit content (text, images or files) directly to the Website. The enquiry form on the Website collects only the information required to respond to your enquiry.

All project communication and material exchange are handled through approved channels agreed with you at the start of an engagement.

• Fees, milestones and payment schedules are set out in the proposal or statement of work for your engagement.
• Project engagements are typically billed in stages, with an initial payment required before production begins.
• Ongoing engagements are billed in advance and renew automatically unless cancelled in accordance with your plan.
• Failure to make payment when due may result in suspension of work or termination of the engagement.
• Unless stated otherwise, quoted fees exclude any applicable taxes, third-party licence fees and stock asset costs.

Unless otherwise stated in writing, all content on the Website — including text, graphics, visuals, logos, layouts, design systems and digital assets (the "Content") — is the exclusive property of Desiand® Ltd and is protected by applicable intellectual property laws.

Permitted use

You may view and use Website content for personal, non-commercial purposes only.

Prohibited use

• Reproducing, copying or redistributing Website content.
• Modifying or creating derivative works from it.
• Using Catalogist™ or Desiand® trade marks, logos or brand assets without written permission.

Delivered work

On full payment, ownership of the final approved deliverables produced for your engagement transfers to you, excluding: our underlying methods, templates and production systems; any third-party fonts, stock imagery or software, which remain subject to their own licences; and preliminary concepts not selected for delivery.

You are responsible for the accuracy and legality of all material you supply to us — including product photography, copy, specifications, pricing and SKU data.

By supplying material, you confirm that you own it or hold the rights necessary to use it, and you grant us a non-exclusive licence to reproduce and adapt it for the purpose of delivering your engagement.

We are not responsible for verifying product claims, measurements, compliance statements or pricing supplied by you and reproduced in a deliverable.

By submitting feedback, ideas or suggestions to us, you grant us the unrestricted right to use, implement and adapt that feedback without any obligation to compensate or credit you.

You agree to use the Website lawfully and responsibly. Prohibited activities include:

• Any unlawful or unauthorised use.
• Attempting to interfere with Website security or functionality.
• Uploading malicious code, viruses or harmful material.
• Infringing intellectual property rights.
• Unauthorised framing, scraping or linking.
• Circumventing security-related features, including the page-level protections applied to catalogs displayed in our viewer.

To the maximum extent permitted by law, Desiand® Ltd shall not be liable for any indirect, incidental, consequential, special or punitive damages — including loss of profits, data, business or goodwill — arising from your use of the Website or our services.

Our total aggregate liability in connection with an engagement shall not exceed the fees paid by you for that engagement.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

The Website and services are provided on an "as-is" and "as-available" basis. We disclaim all warranties, whether express or implied — including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Website will be uninterrupted or error-free, or that documents displayed in the viewer will render identically across every device or browser.

You agree to indemnify and hold harmless Desiand® Ltd, its directors, officers, employees and agents from any claims, damages, losses or expenses arising from your use of the Website, your violation of these Terms, your breach of applicable laws or third-party rights, or any material you supply to us for use in a deliverable.

• Refunds are not guaranteed and are assessed case by case at our sole discretion.
• A fee may be deducted for the completed or remaining billable period.
• Where a refund is issued, all delivered design materials remain the property of Desiand® Ltd and may not be used by you in any form.

We reserve the right to update or modify these Terms at any time. Changes become effective immediately upon publication on the Website. Continued use constitutes acceptance of the revised Terms.

These Terms are governed by and interpreted in accordance with the laws of England and Wales, without regard to conflict of law principles.

Amicable resolution. You are encouraged to contact us first to resolve any dispute informally.

Jurisdiction. Any legal proceedings shall be brought exclusively in the courts of the United Kingdom.

Severability. If any provision is found unenforceable, the remaining provisions remain valid.

Entire agreement. These Terms, together with any signed proposal or statement of work, constitute the entire agreement between you and us.

Waiver. Failure to enforce any right does not constitute a waiver of that right.

Use of the Website is also governed by our Privacy Policy, which forms part of this Agreement.

You are solely responsible for any data transmitted during a service engagement. We are not liable for loss, corruption or unauthorised access to such data outside our reasonable control.

Where you require confidentiality beyond these Terms, a Non-Disclosure Agreement can be put in place before work begins.

You consent to electronic communications and acknowledge that electronic agreements, notices and signatures satisfy legal requirements for written documentation.

We may showcase completed work on this Website, in our portfolio and on our social channels unless a Non-Disclosure Agreement is agreed in writing.

Where a catalog is shown publicly, we may present a reduced-resolution or watermarked version rather than the production file.
